Terms and Conditions.
1. Unless otherwise agreed between all concerned parties prior to the acceptance, either verbally or written, of a contract to provide services, and/or software the following terms and conditions shall be considered to apply.
2. Any quotation for a project will remain valid for 30 days.
3. Industrial Design and Control Ltd reserves the right to adjust the fees and the date of completion of the project in the event that the project proposal is altered after the project is commissioned.
4. All payments must be in sterling unless otherwise agreed. For all non sterling payments an administrative charge will apply.
5. Unless otherwise agreed with Industrial Design and Control Ltd. in writing, title to the goods and services supplied remain with Industrial Design and Control Ltd until payment has been satisfactorily received.
6. Payment of each invoice is due within 30 days of the invoice date. Industrial Design and Control Ltd will be entitled to charge interest on all sums outstanding thereafter at the statutory rate applicable at the time of the contract.
7. If a project is cancelled by you at any time during the project you will be liable to Industrial Design and Control Ltd. for any and all direct and indirect expenses and costs incurred up to the point of cancellation.
8. Either of us may terminate this agreement at any time by written notice to the other if the other goes into liquidation, makes a voluntary arrangement with its creditors or has a receiver or administrator appointed over all or part of its business.
9. Any changes or additions to the project must be agreed in writing by us.
10. Industrial Design and Control Ltd cannot accept responsibility for any delays caused by weather, industrial action or any other circumstances beyond its control.
11. You may, for purposes directly connected with the project carried out under this agreement and provided only, that all fees and other charges due to Industrial Design and Control Ltd are paid in full, use all intellectual property created by Industrial Design and Control Ltd in the course of this project. Unless otherwise agreed in writing, ownership of such intellectual property, including designs, drawings, written reports, computer software and other works, shall be retained by Industrial Design and Control Ltd.
12. Industrial Design and Control Ltd. undertakes to keep confidential and not disclose to any other person (except in the proper performance of duties) either during or after the termination of this contract any information whatsoever relating to your business or any trade secrets or make use of the same in any manner which might be prejudicial to your interests.
13. You undertake to keep confidential and not disclose to any other person, either during or after the termination of this contract any information whatsoever relating to our business, or make use of the same in any manner which might be prejudicial to our interests.
14. Industrial Design and Control Ltd undertakes to declare to you any potential conflict of interest which might reasonably be considered to prejudice their ability to perform the work in an unbiased and professional manner, but reserves the right to undertake projects for any other client where in the reasonable opinion of Industrial Design and Control Ltd, no such conflict exists.
15. Industrial Design and Control Ltd. shall provide services in a professional manner with due care, skill and competence at a level commensurate with industry standards the company makes no warranties of merchantability, fitness for any particular purpose or otherwise and any such warranties or other obligations as to the description, performance, condition or quality of the goods supplied or as to their fitness for a particular purpose whether express or implied by statute or common law or otherwise are hereby excluded.
